1) Acceptance of Terms

By accessing or using the Site, courses, community, events, or coaching (collectively, the “Services”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2) Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you are 13–17, you may use the Services only with parental/guardian consent. The Services are intended for personal and professional development—not for children.

3) Accounts & Security

  • You must provide accurate information, keep your login secure, and promptly update any changes.
  • You are responsible for all activities under your account.
  • Do not share your login or allow others to access your account.
  • Notify us immediately of any unauthorized use or security breach.

4) Course Access License

When you purchase a course, program, or membership, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access the content for your own personal, non‑commercial use, subject to these Terms and any product‑specific access window shown at checkout or on the course page (e.g., lifetime access, 12‑month access, cohort dates). We may remove or modify content for legal, academic, or operational reasons.

5) Intellectual Property

  • All content, courses, videos, text, logos, brand elements, designs, software, and materials (“Content”) are owned by us or our licensors and protected by intellectual property laws.
  • Except as expressly allowed in Section 4, you may not copy, reproduce, record, distribute, modify, translate, create derivative works, sell, or exploit the Content without our prior written consent.

6) User Content & Community Rules

You may post assignments, messages, comments, reviews, and other materials (“User Content”) in courses or community spaces. You agree that:

  • You own your User Content or have rights to post it, and you grant us a worldwide, non‑exclusive, sublicensable, royalty‑free license to host, use, reproduce, and display it for operating and improving the Services, promoting the community (only in anonymized or aggregated form unless you give explicit permission to attribute), and complying with legal obligations.
  • You will not post anything unlawful, infringing, defamatory, harassing, hateful, obscene, fraudulent, or that contains personal data about others without consent.
  • No spam, ads, or promotions without our permission.
  • We may moderate, remove, or disable User Content that violates these Terms or our community guidelines.

7) Coaching & No Professional Advice

Our programs provide education, coaching, and general information only. We do not provide legal, medical, psychological, tax, or investment advice. No coach‑client, therapist‑client, or fiduciary relationship is created by using the Services. You are responsible for your decisions and outcomes.

8) Payments, Subscriptions & Refunds

  • Payments: We use third‑party processors (e.g., Stripe/PayPal). You authorize charges to your selected payment method for one‑time purchases, payment plans, or subscriptions. Taxes may apply.
  • Subscriptions: If you enroll in a subscription or membership, it will auto‑renew at the then‑current rate until cancelled. You can cancel in your account settings or by contacting support before the next billing date to avoid future charges.
  • Payment Plans: You agree to complete all installments. Access may be suspended for failed payments.
  • Refunds: Our refund policy is all sales final except as required by law. Where applicable, digital content may be deemed “consumed” once accessed/downloaded, limiting refunds.
  • Price Changes: We may change prices prospectively. We will notify active subscribers in advance as required by law.

9) Promotions, Trials & Bonuses

Promotional offers, coupons, trials, and bonuses are subject to terms disclosed at the time of the offer and may be changed or withdrawn at any time. Trial subscriptions will convert to paid unless cancelled before the trial ends.

10) Acceptable Use

You agree not to:

  • Access the Services in any manner that could damage, disable, or impair them.
  • Scrape, crawl, data mine, or use bots without our written consent.
  • Reverse engineer, decompile, or attempt to derive source code.
  • Circumvent access controls, DRM, or content protections.
  • Share, resell, or publicly display Content outside your personal use license.
  • Impersonate others or misrepresent your affiliation.

11) Third‑Party Services

The Services may integrate with third‑party tools (e.g., Thinkific, Zoom, email platforms, analytics). Those services are governed by their own terms and privacy policies. We are not responsible for third‑party acts or omissions.

12) Privacy

Your use of the Services is governed by our Privacy Policy (linked in the footer and at checkout), which explains how we collect, use, and share personal information, including cookies and analytics. By using the Services, you consent to those practices.

13) Testimonials & Results

Testimonials and case studies represent individual experiences and do not guarantee the same results. Your results depend on many factors, including your background, effort, and market conditions.

14) Certificates & Badges

Where offered, certificates or digital badges reflect course completion but are not academic credits or professional licenses. We may verify, revoke, or correct certificates in cases of error or policy violations.

16) DMCA / IP Complaints

If you believe your copyrighted work has been used in a way that constitutes infringement, please send a notice to [email protected] with: (a) your contact info, (b) identification of the work and the allegedly infringing material, (c) a statement of good‑faith belief, (d) a statement under penalty of perjury that you are authorized, and (e) your physical or electronic signature. We may remove content and, where appropriate, terminate repeat infringers.

17) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE OF HARMFUL COMPONENTS.

18) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE RELEVANT SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19) Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or applicable law.

20) Suspension & Termination

We may suspend or terminate your access at any time if we reasonably believe you violated these Terms, pose a security risk, or engage in fraud or abuse. You may stop using the Services at any time. Sections that by their nature should survive termination (e.g., IP, disclaimers, limitations, indemnity, governing law) will survive.

21) Governing Law; Dispute Resolution

  • Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflicts of law principles.
  • Informal Resolution: Contact us first; we’ll try to resolve issues in good faith within 30 days.

22) International Use & Export

You are responsible for complying with local laws. You may not use the Services in violation of U.S. export controls or sanctions.

23) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, internet or hosting outages, labor disputes, acts of government, or war).

24) Changes to the Services

We may modify or discontinue features, content, or programs to improve performance, security, or user experience. If a material change significantly reduces purchased access, we will attempt to provide reasonable notice or alternatives.

25) Changes to These Terms

We may update these Terms from time to time. The Effective Date will reflect the latest version. Material changes will be notified via email or in‑product notice. Your continued use after the effective date constitutes acceptance.
